Carefeed Admin Portal Terms of Use

By accessing or using the Carefeed Admin Portal at portal.carefeed.com (the “Admin Portal”), you agree to these Terms of Use (these “Terms”). If you do not agree, do not use the Admin Portal.

The Admin Portal is provided to you because your employer or the facility you represent (your “Organization”) has a services agreement with Carefeed, Inc. (“Carefeed,” “we,” “us,” or “our”). Your access is subject to that agreement, and Carefeed may suspend or terminate your access if your Organization's agreement with Carefeed ends or if your Organization asks us to remove your access. You must be at least 18 years old to use the Admin Portal.

You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. Notify us promptly at help@carefeed.com if you suspect unauthorized use of your account.

You agree to use the Admin Portal only for legitimate business purposes related to your role at your Organization. You will not:

In the course of using the Admin Portal, you may access information about residents, patients, or family members, including protected health information. That information is governed by the Business Associate Agreement between Carefeed and your Organization, applicable law, and your Organization's own policies. You agree to access and use that information only as permitted by your role and applicable law.

If you enable two-factor authentication, you will receive one text message per authentication request. Message and data rates may apply. You may opt out of text messages at any time by replying STOP; you will receive a confirmation text

and no further messages will be sent to that number. You may reply HELP for assistance or contact us at help@carefeed.com. If you opt out of text messages, you will need to contact help@carefeed.com to re-enroll before you can use two-factor authentication to access your account again.

Our collection and use of your information is described in the Carefeed Admin Portal Privacy Notice, available at [insert URL once published].

The Admin Portal, including its content, features, and functionality, is owned by Carefeed or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Admin Portal solely as permitted by your role at your Organization.

The Admin Portal is provided “as is” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the extent permitted by law, Carefeed's total liability to you arising from your use of the Admin Portal will not exceed $100. This limitation does not affect any liability Carefeed has to your Organization under its services agreement with Carefeed.

These Terms govern your individual use of the Admin Portal. They do not replace or limit the agreement between Carefeed and your Organization, including the Subscription Services Agreement and Business Associate Agreement. If there is a conflict between these Terms and your Organization's agreement with Carefeed regarding the Admin Portal, that agreement controls.

We may update these Terms from time to time. We will post the revised Terms with an updated effective date. Continued use of the Admin Portal after changes take effect means you accept the revised Terms.

We may suspend or terminate your access to the Admin Portal at any time, including if we believe you have violated these Terms or if your Organization's agreement with Carefeed ends.

These Terms are governed by the laws of the State of Ohio, without regard to its conflict of laws principles.
